BWYC BY1AWS (Revised to 1/1/88) A majority of the the whole Board of Governors shall constitute a quorum, but a less number may adjourn any meeting from time to time. ARTICLE XII: REMOVAL FROM OFFICE The stockholders may, at any meeting called for the purpose, by vote of a majority of the capital stock issued and outstanding and entitled to vote thereon, remove any Governor from office. The Board of Governors may at any meeting called for the purpose, by vote of a majority of their entire membership, remove from office any officer of the corporation. ARTICLE XIII: MEMBERSHIP 1. 1965 REORGANIZATION a) All members in good standing of the Bay-Waveland Yacht Club, Inc., a non-profit organization hereinafter called the "former Club" on September 13, 1965, (the date of transfer of the assets of the former Club to the Bay-Waveland Yacht Club, Inc., a stock issuing corporation) shall be accepted as members of the Club subject to the following limitations: b) On, or prior to, September 15, 1970, each member of the Club must have secured ownership of a share of stock in Bay-Waveland Yacht Club, Inc. or his membership in the Club will terminate on that date; Junior members of the former Club may retain Junior membership in the Club by the uninterrupted payment of Junior dues until the end of the year in which they attain 21 years of age, after which date they must own a share of stock. 2. STOCK OWNERSHIP - All members joining the Club subsequent to September 15, 1970, shall own a share of stock in Bay-Waveland Yacht Club, Inc., as a condition of membership unless the classification of membership involved is exempt from this requirement by the terms of these Bylaws. 3. MEMBERSHIP CLASSIFICATIONS a) The classifications of membership described herein may be amended by action of the Board of Governors provided such action is taken not later than the regular October Meeting in the year preceding the calendar year in which the amendments are effective. b) Family Membership - is provided for husband and wife and includes children of the family under 18 years of age. c) Single Adult Membership - is provided for unmarried individuals who have passed their 28th birthday. d) Intermediate Membership - is provided for unmarried individuals who have passed their 23rd birthday, but have not attained their 28th birthday. This classification does not require ownership of stock in the corporation. e) Junior Membership — is provided for unmarried 6 BWYC BYLAWS (Revised to 1/1/88) individuals who have passed their 18th birthday, but have not attained their 23rd birthday. This classification does not require ownership of stock in the corporation. f) Special Junior Membership - is provided for unmarried individuals who have passed their 14th birthday, but have not attained their 18th birthday, and who are not covered by a family membership. This classification does not require ownership of stock in the corporation. g) Non-Resident Membership - At its discretion, the Board of Governors may grant Non-Resident Membership to members in the Family or Single Adult Classification whose place of residence is a minimum of 150 miles from the Bay-Waveland Yacht Club. Members in good standing in either of these classifications may request Non-Resident Membership by letter to the Secretary. h) Honorary Lifetime Membership - may be conferred by unanimous vote of the Board of Governors upon any member of the Bay-Waveland Yacht Club in recognition of long and meritorious service to the Club or to the sport of yachting. Individuals elected to this classification shall be exempt from payment of dues and assessments. i) Military Membership - Military personnel on active duty in the Armed Forces of the United States may apply for membership in the appropriate classification, and if elected, shall pay full dues for that classification, but shall be exempt from the requirement of owning stock in the corporation, and from the payment of initiation fees and assessments. Military members may continue their membership in the appropriate classification after termination of active duty by paying the initiation fee effective at that time and owning stock in the corporation. j) Senior Membership - is provided for those members who have attained their 80th birthday and have held membership in the Club a minimum of 30 continuous years. Family Memberships need have only one spouse meet these requirements to qualify for this classification. Qualifying members may be transferred to this classification by making written request to the Board of Governors through the Secretary. 4. ELECTION TO MEMBERSHIP a) The Board of Governors is empowered to accept, reject, or defer any and all applications for membership. All applicants for membership shall be sponsored by two (2) members in good standing who have been members of the Club a minimum of one year. A proposal for membership shall be on a form as prescribed by the Board of Governors from time to time, endorsed by the two sponsors, and delivered to the Secretary accompanied by a letter of recommendation from each sponsor. b) Properly submitted applications shall be reviewed by the Membership Committee which shall investigate the applicant for suitability for membership. The committee shall approve or disapprove applications received and return them to the 7
