law as the Board of Governors may prescribe, but only upon posting by the certificate owner or his agent an indemnity bond ^	covering	the	value	of	the	alleged lost or destroyed or mutilated
certificate.
ARTICLE XIX:	SEAL
The corporate seal of the corporation shall, subject to alteration by the Board of Governors, consist of a flat face circular die with the words "Corporate Seal" together with the name of the corporation cut or engraved thereof. The corporate seal of the Corporation may be used by causing it or a facsimile thereof to be impressed or affixed or reproduced or otherwise.
ARTICLE XX:	EXECUTION	OF PAPERS
Except as otherwise provided in these Bylaws or as the Board of Governors may generally or in particular cases authorize the execution thereof in some other manner, all deeds, leases, transfers, contracts, bonds, notes, checks, drafts, and other obligations made accepted or endorsed by the corporation shall be signed by the Commodore and attested by the Secretary to which instrument he shall affix the seal of the corporation.
ARTICLE XXI:	ORDER OF BUSINESS AT MEETINGS OF GOVERNORS
Business of the meetings shall be conducted in accordance with Robert’s Rules of Order (Revised).

ARTICLE XXII:	FISCAL YEAR
Except as from time to time otherwise provided by the Board of Governors, the fiscal year of the corporation shall be from December 1st, through September 30th.
ARTICLE XXIII:	AMENDMENTS
1.	These Bylaws may be altered, amended or repealed at any meeting of	the	Board of	Governors provided the following
conditions	are	complied	with:
a)	Seven (7) days notice shall be given to each governor prior to the meeting, and the notice shall specify the proposed change.
b)	The	proposed	change shall be published in the Club
news bulletin mailed no	later than ten (10) days prior to the
Board of Governors meeting.

2.	Notice of the passage or rejection of the proposed change shall be published in the first club news bulletin following the meeting.
3.	These Bylaws may be altered, amended or repealed at any meeting of the stockholders provided the notice of the meeting specified the proposed change. (As specified in Article IV)
ARTICLE XXIV:	DUES AND ASSESSMENTS
1.	The Governing Board may fix the annual dues and initiation fee at such amount as they deem necessary. The amount of the dues shall not be changed during the dues year, and cannot be increased or decreased at any time unless thirty days notice is given the entire membership.
2.	Assessments may be made by the Board of Governors when they deem necessary and such assessments shall be binding upon the members and must be paid within ninety (90) days of notification.
3.	Dues shall be payable annually, in advance, on the first day of January, covering the calendar year, however;
4.	Members may elect to pay dues bi-monthly in four equal installments due on the first days of January, March, May, and July, each payment to include a seven percent (7%) administrative fee, and provided the club is advised of this election in writing no later than January one.
5.	Members shall be responsible for payment of the full year’s dues unless resignation is submitted in writing prior to the first day of January.
6.	Members whose dues are more than 45 days past due shall
be posted	on	the club bulletin board. Members whose dues are
more than	75	days past due shall	be automatically suspended from
all club	privileges and notice of same shall be posted.
7.	Members who remain in suspended status for more than 60 days shall be subject to membership revocation by action of the Board.
ARTICLE XXV:	REGULATION OF CLUB AFFAIRS PRIOR
TO THE FIRST ELECTION OF A BOARD OF GOVERNORS
The three incorporating Directors may elect a temporary Board of Governors to serve until succeeded by a Board of Governors duly elected in the manner prescribed by these Bylaws.
ARTICLE XXVI:	ASSISTANT TREASURER
The Board of Governors may appoint the manager of the club as Assistant	Treasurer with such	powers and duties as may be
delegated	to	him by the Board of	Governors or the Treasurer.	The
Assistant Treasurer shall be authorized to withdraw funds by check or draft and to endorse items for deposit in accordance with resolutions on file with the depository institutions.
