SECTION A
THE ORGANIZATION
PaddleWheel Productions, Inc., is incorporated in the State of Mississippi and is authorized to offer both preferred and common stock in the form of an Investment Unit. Each unit sells for one thousand dollars ($1,000) and gives the buyer one share of interest bearing preferred stock valued at $990 and one share of common stock valued at $10. A Prospectus is available upon request. PaddleWheel Productions, Inc., is the governing organization of all activities. Management of the operation is controlled by three incorporating directors, with assistance from professional staff, and guidance from a corporate board, as described in Section C. Auxiliary enterprises (food service, bar, ice cream counter, gift shop) are either catered or operated by the staff. (See Section D.) The children’s program is operated by Theatre Plus, Inc., as described in Section F.
SECTION B THE REPERTORY THEATRE
I.	INITIAL PROGRAM OF THE TROUBADOURS REPERTORY THEATRE COMPANY.
A.	The name of the repertory theatre will be the Troubadour’s Theatre, taking its name from
the name of the professional performing group.
B.	Five original rotating musicals. Over a two year period the Troubadours will introduce each
musical which, although focusing on entertainment, tells much about customs, historic events,
problems, and successes of earlier generations - the things many Mississippi natives enjoy and the
things many visitors come to Mississippi to explore. The musicals are:
1.	1600 Confederate Avenue. A warm, touching, and funny musical showing the hopes and dreams of black and white, young and old, when the South unexpectedly won the Civil War.
A new twist on an ever popular subject, with songs of special appeal to all races and people from all areas of the country.
2.	RiverTown Set in the state’s major river port in the late 1800’s when cotton and the river dominated life from the stately drawing rooms to the rollicking river front in unexpected ways.
A fascinating look at the era through the lives of three families.
3.	Song of the Jay Fictitious characters, but historically accurate picture of Mississippi during
the Civil War, showing the conflict of love and hate and the search for survival of.both blacks and whites. History buffs will like this one best!
4.	Crawfish Cotillion A musical about explorers, native Americans, and settlers as their lives entwine during the early development of the Mississippi Gulf Coast. A lighter look at the serious business of carving a new life in a new territory.
5.	Rocket The story of a lively lady born on the Coast on New Year’s Eve 1900, and was 100 in the year 2000. Vignettes trace love, work, and humor of five generations. The history of the nation is reflected in life in Mississippi.
As time progresses, new musicals will be introduced. For example, work is under way on a musical set in New Orleans prior to the Civil War and another set in the early days of Mobile. Such additions will further enhance the tourist market from neighboring states. There is also an old-fashioned musical melodrama -complete with hissable villains and set on the Gulf Coast - in the works.
C.	Concerts will be interspersed among the rotating musicals, featuring memorable songs from American music theatre, celebrations of seasonal events such as Christmas and Mardi Gras, and an occasional revival of entertainment from playbills of by-gone eras.
