BYLAWS OF BAY-WAVELAND YACHT CLUB, INC.
ARTICLE I:	CHARTER	OF	INCORPORATION
The Charter of Incorporation is hereby made a part of these Bylaws.
ARTICLE II:	ANNUAL	MEETING
The annual meeting of the stockholders for the election of the Board and for the transaction of other business shall be held in November on the Saturday immediately following the third Friday of the month. Purposes for which the annual meeting is to be held, additional to those prescribed by law, may be specified by resolution of the Board or by stockholders who hold at least one-tenth part in the interest of the capital stock outstanding. The Board may call a semi-annual meeting in June.
ARTICLE III:	SPECIAL MEETINGS OF THE STOCKHOLDERS
Special meetings of the stockholders may be held for such purposes as shall be specified in a call for such meeting made by a resolution of the Board of Directors (hereinafter called the "Board of Governors"), or by a majority of the Governors, or by Stockholders who hold at least one-tenth part in interest of the capital stock.
ARTICLE IV:	NOTICE	OF	STOCKHOLDERS	MEETINGS
Printed notice of each meeting of stockholders, stating the place, day and hour thereof and the purpose for which the meeting is called, shall be given by or under the direction of the secretary at least seven days, but not more than twenty days, before the date fixed for such meeting, to each stockholder, or by mailing it to him at his address as it appears upon the books of the corporation.
ARTICLE V:	QUORUM	OF	STOCKHOLDERS
At any meeting of the stockholders, a quorum shall be present if twenty-five (25%) of the issued and outstanding stock is represented in person or by proxy. A quorum for the purpose of voting on new business shall be present if twenty-five (25*) of the issued and outstanding stock is represented in person or by proxy.
ARTICLE VI:	PROXIES	AND VOTING
1. Each stockholder shall at every meeting of the stockholders, be entitled to one vote in person or by proxy for each share of the capital stock held by such stockholder; and in all elections for Governors of the corporation every stockholder
