bond. He shall have the power to endorse for deposit or collection all notes, checks, drafts, and other obligations for the payment of money to the corporation or its order. He shall keep or cause to be kept, accurate books of account, which shall be the property of the corporation.
ARTICLE IX:	COMMITTEES,	DUTIES
The Commodore, subject to the approval of the Board of Governors, shall appoint a Fleet Captain, Fleet Surgeon,
Measurer, Historian and the following committees:	Bylaws	and
Rules, House, Harbor, Finance, Race, Regatta, Scot Class, Entertainment, Executive, Membership, and Publicity, and any other committee he deems necessary.
(1)	Executive Committee:	This committee shall be composed
the Commodore, Vice Commodore, Rear Commodore, Secretary and Treasurer of the club. The Commodore or his designee from time to time shall serve as Chairman of the Committee. A majority of the members of this committee shall constitute a quorum.
This committee shall be charged with the overall responsibility of administering the affairs of the Club. Its decisions must conform with club policy as established by the Board.
The committee will consult with and coordinate the efforts of all other committees of the Club.
The committee is authorized to make proper disbursements and allocations of Club funds with limitation for improvement and/or maintenance projects of:
1.	$500.00 maximum on any one project within any one month period.
2.	$1500.00 maximum total expenditure within any month period.
All disbursements or contractural agreements in excess of these limitations must be previously approved by the Board of Governors at a regular or special meeting.
The committee shall receive and recommend solutions to complaints from members.
The committee shall meet on call and maintain accurate minutes of its actions. These minutes shall be available at all Board of Governors meetings or to any Board Member during business hours. A summary of the Committee’s actions during any meetings shall be presented to the Board of Governors at its next regularly scheduled meeting following the close of that month.
(2)	Race Committee:	This committee shall have entire
charge of the conduct of races, both Club races and interclub regattas, and the care and maintenance of racing marks, signals, gear, and the Club Committee Boat.
The chairman of this committee shall represent the Club at meetings of Race Committee Chairmen from the several member clubs of the Gulf Yachting Association.
(3)	Flying Scot Committee:	This	committee	shall have

entire charge of the repair and maintenance of Club-owned Flying Scots and related equipment. The chairman of this committee shall represent the Club at meetings of the Flying Scot Chairmen from the several member clubs of the Gulf Yachting Association.
(4)	Nominating Committee:	At the regular meeting in August
the Board shall elect a Nominating Committee consisting of five (5) stockholding members. It shall meet during September for the purpose of nominating candidates for election to the Board at the November election. The list of nominees shall not be less than twenty (20) in 1965 and not less than ten (10) thereafter. The Committee shall personally contact each nominee and determine his or her willingness to serve if elected. No later than the first day of October, the Committee shall post on the Club bulletin board it’s list of nominees. No member of the nominating committee may be a candidate for election to the Board of Governors.
Additional nominations may be made by written petition of at least fifteen (15) stockholder members provided such petition is presented to the Secretary no later than the fifteenth of October.
(5)	The duties of the House, Harbor, Entertainment and Publicity Committees shall be prescribed to the several committees by the Commodore, subject to the approval of the Board of Governors.
(6)	Membership Committee:	This committee shall be composed
of five (5) members appointed by the Commodore, and whose identity is known only to the Commodore and the Secretary. Their duties are described under Article XIII.
(7)	The Finance Committee shall be composed of three (3) members who are not officers of the corporation. This committee shall perform whatever tests it deems necessary to insure the accuracy of the financial statements of the corporation. They should also provide a statement of their tests to the first board meeting of each fiscal year. This committee may also be called upon to assist in taking inventories, budgeting, and other financial matters of the club.
ARTICLE X:	MEETINGS	OF	THE	BOARD	OF	GOVERNORS
Regular meetings of the Board will be held on the third Friday of each month, at such hour as the Board may determine. Special meetings may be held on seven (7) days notice of time and place thereof being given to each Governor or by the request of any three (3) members of the Board giving notice to the secretary. Said notice is to specifically state the reason for such meeting and such notice of said meeting to be given by mail to each member of the Board setting forth the reason and the notice shall be mailed not less than seven (7) days prior to such call.
